1. Changes to the Terms

Bituce.com reserves the right to change these Terms at any time, and changes will be communicated to you by email, service notifications, or by updating the "Last Updated" date at the top of these Terms. If you do not agree to the changes, you must immediately cease using the Services.

2. User Eligibility

2.1 General Requirements

To use the Services, you must be at least 18 years of age and meet all of the criteria specified in these Terms. By using the Services, you represent and warrant that you are capable of entering into a binding contract, that your right to use the Services has not been suspended previously, and that you are capable of acting in accordance with these Terms.

3. Account

3.1 Bituce.com Account

To access the Services, you must create and maintain an account ("Bituce.com Account"). You must provide a unique password and a valid email address for your Bituce.com Account. You are responsible for the security of your Bituce.com Account and accept all risks associated with authorized or unauthorized access.

3.2 Enhanced Security

Bituce.com may offer optional enhanced security features for your Bituce.com Account, but you are not required to use these features and it is up to you to secure your account.

3.3 Responsibility for Account Activities

Bituce.com is authorized to rely on the actions of persons accessing or using your Bituce.com Account, whether such access or use is authorized or unauthorized, and such persons shall bind you to agreements, instructions, and actions made against you.

4. Risk Disclosures

Using the Services and trading carry significant risks, including:

• Complex Token Features and underlying Technology
• Susceptibility to Attacks
• Changes to Tokens or underlying Technology
• Cancellation, Loss, or Double Spending of Tokens
• Suspension or Termination of Bituce.com's Support
• Technical Issues Affecting Tokens
• Technical Issues Affecting Transaction Requests

By using the Services, you assume these risks and waive any claims against Bituce.com for losses related thereto.

5. Account Funding; Transfers

5.1 Initial Account Funding

To trade, you must transfer Tokens to your Bituce.com Account. Transfers are subject to verification and review requirements.

5.2 Deposits

You can transfer supported Tokens from an Approved External Account to the Hosted Wallet.

5.3 Withdrawals

You can withdraw Tokens from the Hosted Wallet to an External Address.

5.4 Other Terms Related to Transfers

You are responsible for formatting transfer instructions properly, meeting requirements, and paying fees.

6. SWAP ORDERS AND TRADES

6.1 Orders; Fees

Trades involve the exchange of Tokens, and Orders authorize Bituce.com to execute Trades. You agree to pay the applicable fees for Trades.

6.2 No Commission or Fiduciary Relationship

Bituce.com is not your broker, dealer, agent, or advisor, and there is no fiduciary relationship between you and Bituce.com.

6.3 Order Matching and Trade Execution

Orders are matched on a spot basis, and Trades are executed on a spot basis. You authorize Bituce.com to have temporary control of Tokens involved in Orders.

6.4 Cancellations

Orders may be canceled before they are matched with another user's Order. Cancellations may be restricted after a match has occurred.

6.5 Insufficient Tokens

If you do not have enough Tokens for an Order, Bituce.com is not obligated to execute the Order.

7. NO WARRANTIES

The Services are provided "as is" and "as available." Bituce.com disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

8. TERMINATION OF SERVICES AND SUSPENSION OF SUPPORT

Bituce.com reserves the right to terminate or suspend the Services or these Terms at any time in its sole discretion. Bituce.com may suspend the Services at any time for development, maintenance, or other reasons without prior notice.

9. LIMITATION OF LIABILITY

9.1 General Limitation of Liability

Bituce.com is not liable for any direct, indirect, punitive, special, incidental, or consequential damages, including, but not limited to, loss of profits, revenue, trading losses, or any other losses or damages arising out of or relating to your use of the Services, whether based on contract, tort, or any other legal theory.

9.2 Additional Limitations of Liability

In addition to the general limitation of liability set forth in Section 9.1, Bituce.com is not liable for any of the following:

• Loss or damage to your Tokens or other digital assets, whether due to theft, loss, hacking, or any other cause.
• Any loss or damage caused by your own negligence or willful misconduct.
• Any loss or damage caused by the actions of third parties, including other users of the Services.

9.3 Force Majeure

Bituce.com is not liable for any damages or losses arising from events beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, natural disasters, or strikes.

10. DISPUTE RESOLUTION

Any disputes arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be held in London, United Kingdom and the language of the arbitration shall be English. The arbitrator shall have the authority to grant all remedies available in a court of law, including, but not limited to, injunctive relief and damages.

11. NOTICES

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when:

  • If to you: the email address associated with your account
• Delivered through the Site: posted through the designated messaging or notification system within the Bituce.com platform.

The parties may designate different email addresses or communication channels within the Site at any time by providing written notice to the other party.

12. VALIDITY AND COMPLETE AGREEMENT

12.1 Effective Date

These Terms shall be effective as of the date first written above.

12.2 Entire Agreement

These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

13. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.
